§ 1 Name and Seat

The name of this club shall be the 'German American Friends Niederrhein', hereafter to be referred to as "the Club" and shall be affiliated to the register of associations. The Club's seat is in Duisburg. The Club is member of the Federation of the German-American Clubs e.V. and participates in the programs of the Federation.

§ 2 Objects

The sole purpose of this club is to serve the public interest in accordance with the provisions applicable to "tax-exempt purposes" The mission of the Club is to encourage and foster the German-American dialogue, and above all to support the student exchange program of the Federation of German-American Clubs e.V..

The statutory purpose shall be achieved through:

  1. Membership of the Federation of German-American Clubs e.V.;
  2. Assisting and Participating in events and activities hosted by the Federation of German-American Clubs e.V.;
  3. Promoting and fostering contacts between Germans and Americans, in particular taking care of American guests and students;
  4. Taking care of German applicants for the student exchange program with the U.S.;

§ 3 Business Year

The business year shall be the calendar year

§ 4 Membership

The club membership shall consist of:

  1. regular members (friends and sponsors)
  2. student members
  3. legal persons (companies et al.)
  4. honorary members

The board shall decide on membership applications.

Honorary membership may be granted upon approval of the annual meeting of the membership to those persons who have contributed with merit to the club and the fulfillment of it's objectives.

Honorary members are entitled to all privileges of membership except for the right to vote and the right to be elected, they are not obligated to membership fees.

§ 5 Termination of Membership

Membership shall be terminated by written resignation to the president to the end of a business year. Membership shall be considered expired when the membership dues were not paid within 2 months upon issuing the written reminder.

§ 6 Membership Dues

Entrance fees and annual dues shall be decided and pronounced at the annual meeting of the membership.

§ 7 Governing Bodies

The governing bodies of the club shall be:

  1. the board of directors
  2. the annual meeting of the membership

§ 8 Board of Directors

The board of directors shall consist of:

  1. President
  2. Vice-President
  3. Secretary
  4. Treasurer

The board of directors shall be elected at the annual meeting of the membership. Election shall be by secret ballot, absentee balloting shall be permitted.

Only regular club members are eligible for election. The term of office shall be two years or until a new board is elected. The board of directors shall conduct the business of the club. It shall meet on call of the president whenever it seems necessary, but at least four times a year.

The decisions of the board of directors shall be made by majority vote. In case of a tie the president or the chairman of the meeting shall have the casting vote.

A quorum shall consist of three members of the board of directors. The board of directors also can vote in writing, however such voting has to be unanimous.

Minutes of all board meetings will be taken containing the agenda and the motions made.

§ 9 Legal Status

Official representative in the meaning of paragraph 26 of the "Bürgerliches Gesetzbuch" is the president. In case of his absence he shall be represented by the vice-president. The absence does not need to be proved.

§ 10 Annual Meeting of the Membership

The annual business meeting of the membership shall be held every 2 years.

The written notice shall be sent to the members by the board of directors at least 1 months in advance and shall include the agenda and the slate of candidates for the board of directors.

The tasks of the annual meeting of the membership shall be:

  1. to decide on all actions deemed necessary to promote the objectives of the club;
  2. to receive and accept reports from the board of directors and to release it from further responsibilities;
  3. to fix the dues;
  4. to elect a new board of directors.

§ 11 Quroum

A quorum consists of those members present at an annual meeting of the membership which was called orderly. Unless stated otherwise decisions shall be made by a majority vote. In case of a tie the chairman of the meeting shall have the casting vote.

The decisions of the annual meeting of the membership are to be recorded and signed by the chairman and the secretary.

§ 12 Special Meeting of the Membership

A special business meeting of the membership shall be called by the board of directors whenever the board deems it necessary or on written request of at least 1/4 of the regular members. A proposal of the agenda has to be added to the request. As to notice, quorum etc. the same provisions are applicable as set in paragraphs 10 and 11.

§ 13 Amendment of Constitution

This constitution can be amended by a two-third vote of the annual meeting of the membership. The proposed amendment has to be submitted to the board of directors 6 weeks prior to the meeting and has to be announced to the membership in connection with the written notice of the business meeting of the membership. Absentee balloting shall be permitted.

§ 14 Dissolution

In the event of the dissolution of the club or the elimination of its stated purpose, all assets of the club shall be transferred to the Federation of German-American Clubs e.V., which shall solely use these assets in the service of the Student Exchange Program.

The dissolution of the club can only be decided by a meeting of the membership which was called for this purpose under the provisions of paragraph 13 (Amendment of Constitution).

The liquidation shall be conducted by the board of directors which shall remain in office until its conclusion.

§ 15 Serving the Public Interest

The club operates under the principle of altruism and it does not pursue private economic gain. The funds of the club shall be solely used for the purpose set forth in its constitution.

Members shall not receive payment from the funds of the club. No person shall receive any benefit which is not consistent with the purpose of the club or receive any excessive remuneration.

§ 16 Legal Version

The German text of the constitution shall prevail in case of doubt.
